The challenge
The founders had a signed term sheet, three investors in two free zones and a cap table that still showed an early adviser with an undocumented promise of equity.
The lead investor wanted to close before the end of the quarter. The founders wanted to keep control of the board.
Our approach
We fixed the cap table first, then ran one set of documents for every investor.
01
Clean up the cap table
We documented the adviser’s equity on fair terms and restructured the holding company so investors could come in cleanly.
02
One set of documents
A single subscription agreement and shareholders’ agreement for all three funds, negotiated in parallel instead of one by one.
03
Protect the founders
We kept founder control of the board, limited investor vetoes to genuine reserved matters and capped warranties.
Closed in six weeks, with the founders still in control.

In the client’s words
“They told us on day one what would slow the round down, and fixed it before the investors noticed.”
